ValidRev - Terms and Conditions

By accessing or using ValidRev ("Platform", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Platform.

ValidRev is a public database of verified ecommerce store revenues. Store owners may connect their Shopify or WooCommerce stores via API. Revenue data is pulled automatically by the Platform and displayed publicly. Sellers may optionally list their stores for sale through the integrated marketplace.

You must be at least 18 years old and capable of forming a legally binding contract to use this Platform. By using ValidRev, you represent that you meet these requirements.

To connect a store or make an offer, you must create an account. You are responsible for:

When you connect a Shopify or WooCommerce store, you authorize ValidRev to:

You confirm that you are the owner or authorized administrator of any store you connect. You must not connect stores you do not own or have explicit permission to connect.

Revenue data displayed on the Platform is pulled directly from your store's API and is not manually entered or modified by ValidRev. While we take reasonable steps to ensure accuracy, we do not guarantee that all data is error-free.

To publish a store listing, sellers must pay a one-time listing fee. The available tiers are:

Sellers may toggle their store listing to "For Sale" to appear in the marketplace. Buyers may submit offers on listed stores. By submitting or accepting an offer, both parties agree to proceed in good faith toward completing the transaction.

ValidRev is not a party to any sale agreement between buyer and seller. We facilitate the connection and escrow process but are not responsible for the outcome of any transaction.

When an offer is accepted, the transaction is processed through a third-party escrow provider (Escrow.com). ValidRev charges a commission of 2-3% of the final sale price, which is collected through the escrow process.

By initiating a transaction on the Platform, you agree to the escrow provider's own terms of service. ValidRev is not liable for any delays, disputes, or failures arising from the escrow provider's systems or decisions.

Funds held in escrow are only released to the seller once the buyer has confirmed receipt and acceptance of the store transfer. In the event of a dispute, the escrow provider's resolution process applies.

Buyers may be required to complete identity verification (KYC) before submitting offers above certain thresholds. KYC is facilitated by a third-party verification provider. ValidRev is not responsible for the verification provider's data handling practices, which are governed by their own privacy policy.

You agree not to:

All content on ValidRev - including design, software, text, and branding - is owned by or licensed to ValidRev. Your store's revenue data remains your own. By connecting your store, you grant ValidRev a non-exclusive, royalty-free license to display, process, and publish that data on the Platform for the duration of your store's connection.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VALIDREV DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. REVENUE DATA DISPLAYED IS SOURCED FROM THIRD-PARTY APIS AND MAY NOT REFLECT REAL-TIME OR PERFECTLY ACCURATE FIGURES.

NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL, LEGAL, OR INVESTMENT ADVICE. BUYERS SHOULD CONDUCT THEIR OWN DUE DILIGENCE BEFORE ACQUIRING ANY STORE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALIDREV AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION FACILITATED THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO VALIDREV IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless ValidRev and its team from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Platform. Upon termination, your right to use the Platform ceases immediately.

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction, as permitted by law.
