ValidRev - Terms and Conditions

ValidRev is a service owned and operated by Zain Qazi LLC, a United States limited liability company ("we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of ValidRev at validrev.com, including its Shopify connection, merchant analytics, public profiles, and directory (collectively, the "Service"). By using the Service, you enter into an agreement with Zain Qazi LLC and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

ValidRev connects to merchant-authorized Shopify stores, processes read-only commerce data, calculates store-level aggregate performance metrics, provides a merchant analytics dashboard, and publishes eligible aggregate profiles in a public directory.

The Service does not modify Shopify orders, customers, products, themes, payments, or checkout. It does not publish customer details or individual order records.

You must be at least 18 years old, capable of entering a binding agreement, and authorized to act for every account and store you connect. You must not connect a store you do not own, administer, or have explicit authority to represent.

You must provide accurate account information, protect your authentication methods, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account except to the extent caused by our failure to use reasonable security measures.

Do not share passwords, one-time codes, Shopify credentials, or API keys with ValidRev support.

Installation must begin on a Shopify-owned surface. By approving Shopify's authorization screen, you instruct ValidRev to use the granted read-only scopes and webhooks to connect, synchronize, and maintain the Service for that store.

Shopify normally limits order access to the latest 60 days. If Shopify approves and the merchant grants read_all_orders, ValidRev can process the older order history required for its available historical reporting. ValidRev displays the range actually available and does not represent unavailable periods as complete.

You can revoke access by disconnecting through ValidRev or uninstalling through Shopify. Disconnecting stops future synchronization, destroys ValidRev's stored Shopify credentials, and removes the store from public queries.

An eligible connected store automatically receives a public profile and directory entry containing Shopify-owned store identity and store-level aggregate analytics. This automatic publication is a core part of the Service.

You can enable anonymous mode to hide the store name, logo, description, and identifying URL. Anonymous mode does not remove aggregate analytics from public display while the store remains connected. Disconnecting or uninstalling removes the profile from public queries.

Customer names, email addresses, phone numbers, postal addresses, customer identifiers, individual orders, and Shopify credentials are never included in public profiles.

Metrics are calculated from information made available by Shopify and can be affected by granted scopes, processing delays, order edits, returns, currency, store timezone, Shopify availability, and incomplete historical access. ValidRev identifies limited or incomplete history where reasonably possible.

You should compare material financial decisions against your authoritative Shopify and accounting records. ValidRev analytics do not constitute audited financial statements.

The Shopify connection, aggregate analytics, and public-profile features described in these Terms are currently free. ValidRev will not charge a merchant for these features without clearly presenting the applicable price and obtaining any approval required by Shopify and law.

Our Privacy Policy explains the information we process, why we process it, public-profile behavior, service providers, retention, security, and privacy-request procedures. By using the Service, you acknowledge those disclosures and agree to provide any notices or obtain any permissions required for your own business use of Shopify customer data.

You must not:

Zain Qazi LLC and its licensors own the Service, software, design, and ValidRev branding. You retain your rights in your store information. While a store is connected, you grant Zain Qazi LLC a limited, non-exclusive license to process that information only as needed to operate, secure, and display the Service as described in these Terms and the Privacy Policy.

You may stop using the Service and disconnect your store at any time. We may restrict or terminate access when reasonably necessary to address a security risk, unlawful activity, material breach, Shopify requirement, or discontinuation of the Service.

Sections that by their nature should survive termination—including ownership, disclaimers, liability, and dispute provisions—remain effective after termination.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VALIDREV DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OPERATION OR THAT THIRD-PARTY DATA WILL ALWAYS BE COMPLETE, CURRENT, OR ERROR-FREE.

ValidRev does not provide legal, tax, accounting, investment, or financial advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIN QAZI LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIN QAZI LLC'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE CLAIM OR USD 100. Nothing in these Terms excludes liability that cannot lawfully be excluded.

To the extent permitted by law, you will defend and indemnify Zain Qazi LLC against third-party claims arising from your unauthorized store connection, unlawful use of the Service, violation of these Terms, or infringement of another person's rights.

We may update these Terms to reflect changes to the Service, Shopify requirements, or law. We will update the date on this page and provide additional notice when a material change requires it. Continued use after the effective date constitutes acceptance where permitted by law.

Zain Qazi LLC is the contracting entity for the Service. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Service, subject to applicable law.
